1. Agreement to Terms

By accessing or using ZAPPAY ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

ZAPPAY is a payment processing and marketplace facilitation platform connecting licensed cannabis farmers, consumers, dispensaries, and transporters. We operate in full compliance with state and federal cannabis laws.

2. Eligibility Requirements

Age Requirement

You must be at least 21 years of age to access or use ZAPPAY. By using the Platform, you represent and warrant that you are 21 years or older.

Location Requirement

ZAPPAY is only available to users located in states where cannabis is legal for recreational or medical use. We use geolocation verification to confirm your location. By using the Platform, you consent to location verification.

Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3. Platform Description

ZAPPAY operates as a payment processor and marketplace facilitator that:

Connects licensed cannabis farmers with consumers nationwide
Facilitates direct farmer-to-consumer transactions
Enables pre-payment and crowdfunding for specific strain cultivation
Processes payments securely through Stripe
Charges a 5.2% commission on all transactions
Verifies farmer licenses and product compliance
Provides precision matching of THC levels and cannabis strains

ZAPPAY does not grow, sell, or distribute cannabis products. We are a technology platform that facilitates legal transactions between licensed parties.

4. User Accounts

Registration

To make purchases or list products, you must create an account. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use

Account Types

Consumer Accounts: For purchasing cannabis products
Farmer Accounts: For licensed farmers to list products (requires license verification)
Transporter Accounts: For licensed transporters to offer delivery services

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to comply with applicable laws.

5. Payment Processing

Commission Structure

ZAPPAY charges a 5.2% commission on all transactions. This fee covers:

Payment processing through Stripe
Platform maintenance and security
Compliance verification
Customer support

Payment Flow

Consumer places order and pays through ZAPPAY
Payment is processed securely via Stripe
ZAPPAY verifies transaction and deducts 5.2% commission
Remaining funds are transferred to farmer via ACH within 2-5 business days

Third-Party Payment Processor

All payment processing is handled by Stripe, Inc. By using ZAPPAY, you agree to Stripe's Terms of Service (https://stripe.com/legal/ssa). ZAPPAY does not store your credit card information.

Pre-Payment Model

ZAPPAY enables consumers to pre-pay farmers for growing specific cannabis strains. This ensures:

All grown products are pre-sold
Reduced waste and financial risk for farmers
Precision matching of consumer demand with farmer cultivation

Pre-paid orders are non-refundable except as specified in our Refund Policy.

6. Farmer Terms

License Verification

All farmers must provide proof of valid state cannabis cultivation licenses before listing products. ZAPPAY reserves the right to verify licenses and reject applications that do not meet requirements.

Product Listings

Farmers agree to:

Provide accurate product descriptions, including THC/CBD content
Ensure all products are lab-tested and compliant with state regulations
Upload Certificates of Analysis (COAs) for all products
Price products fairly and competitively
Fulfill orders within agreed timeframes

Product Quality

Farmers are solely responsible for product quality, safety, and compliance. ZAPPAY is not liable for product defects, contamination, or quality issues.

Transportation Services

Licensed farmers who meet requirements may offer transportation services for additional profit. ZAPPAY receives a 5.2% commission on transportation fees.

7. Consumer Terms

Purchase Process

Browse products by strain, THC level, or farmer
Add products to cart
Complete age and location verification
Provide delivery address (must be in legal state)
Complete payment through Stripe
Receive order confirmation and tracking

Delivery Requirements

Government-issued ID required at delivery
Recipient must be 21+ years of age
Delivery only available in legal cannabis states
Cannot ship across state lines

Product Use

Products purchased through ZAPPAY are for legal adult use only in states where cannabis is legal. You agree to:

Use products only in legal jurisdictions
Not transport products across state lines
Not resell products without proper licensing
Consume responsibly and in accordance with state laws

8. Prohibited Uses

You may not use ZAPPAY to:

Purchase or sell cannabis if you are under 21 years of age
Access the Platform from a state where cannabis is illegal
Transport cannabis products across state lines
Make false or fraudulent purchases
Violate any local, state, or federal laws
Engage in money laundering or other illegal financial activity
Share your account with others
Use automated systems (bots) to access the Platform
Resell products without proper licensing

Violation of these prohibitions may result in immediate account termination and legal action.

9. Health and Safety Disclaimers

FDA Disclaimer

These statements have not been evaluated by the Food and Drug Administration. Cannabis products are not intended to diagnose, treat, cure, or prevent any disease.

Medical Consultation

Consult a healthcare provider before using cannabis, especially if you have a medical condition, are pregnant or nursing, or are taking medication.

No Medical Claims

ZAPPAY does not make medical claims about cannabis products. We are not a licensed medical dispensary. All product information is provided by farmers and should not be considered medical advice.

Health Risks

Cannabis use may pose health risks, including:

Impaired cognitive function
Respiratory issues (if smoked)
Dependency or addiction
Interactions with medications
Impaired driving ability

Use cannabis responsibly and in accordance with state laws.

10. Legal Compliance

State Law Compliance

ZAPPAY operates only in states where cannabis is legal. You agree to comply with all applicable state and local laws regarding cannabis purchase, possession, and use.

THC Limits

Products sold through ZAPPAY comply with state-specific THC limits. THC content is lab-tested and verified.

Interstate Transport

Transporting cannabis across state lines is illegal under federal law, even between states where cannabis is legal. You agree not to transport products purchased through ZAPPAY across state lines.

License Verification

ZAPPAY verifies that all farmers and transporters hold valid state licenses. We reserve the right to request additional documentation at any time.

11. Refund Policy

Most cannabis sales are final due to state law requirements. Refunds are only available in limited circumstances:

Refundable:

Damaged products
Wrong items delivered
Quality issues (mold, contamination)

Non-Refundable:

Opened products
Used products
Buyer's remorse
Pre-paid orders (except for farmer failure to deliver)

12. Intellectual Property

All content on ZAPPAY, including logos, text, graphics, and software, is the property of ZAPPAY or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

Copy, modify, or distribute Platform content without permission
Use ZAPPAY trademarks without written authorization
Reverse engineer or attempt to extract source code

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAPPAY SHALL NOT BE LIABLE FOR:

Product quality, safety, or compliance (farmer responsibility)
Delivery delays or failures
Loss or theft of products
Health effects from cannabis use
Violations of state or federal law by users
Indirect, incidental, or consequential damages

ZAPPAY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless ZAPPAY, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any law or regulation
Your violation of any third-party rights

15. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or your use of ZAPPAY shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class action lawsuits.

16. Changes to Terms

ZAPPAY reserves the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the new Terms.

17. Privacy

Your use of ZAPPAY is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

19. Severability
